# PPC Campaign and Optimization Services AgreementThis agreement is made at the time of purchase between Intentional Marketing, a New Jersey-based boutique marketing agency located at Toms River, NJ ("Intentional Marketing"), and the signed entity on behalf of ownership/management specified ("Client").## Recitals- Intentional Marketing has experience and expertise in the development, management, and optimization of PPC search engine campaigns, specifically for multifamily and commercial real estate (CRE) properties.
- Client desires to have Intentional Marketing develop and deploy PPC search engine campaigns as outlined in Exhibit A, attached herein (the "Specifications").
## 1. AgreementsIn consideration of the mutual covenants set forth in this Agreement, Client and Intentional Marketing hereby agree as follows:### Development of PPC Campaign and Optimization Services
Intentional Marketing agrees to create, manage, develop, and implement custom PPC advertising tactics according to the terms listed in Exhibit A attached hereto.
## 2. Specifications
Intentional Marketing agrees to develop the PPC campaign for the stated property in accordance with the Specifications set forth in Exhibit A.
## 3. Delivery Dates and Milestones
Intentional Marketing will use reasonable diligence in the development of the PPC campaign and strategy and endeavor to deliver to Client all deliverables and milestones on a monthly basis. Client acknowledges, however, that these delivery timelines are estimates and are not guaranteed deadlines. Intentional Marketing will retain all documents, keyword lists, and other assets employed or created for Client during the execution of this agreement. The output formats will be shared with the Client as outlined in Exhibit A, intended to be used only within the scope of the project.
## 4. Services Provided
PPC Campaign and Optimization services are intended to provide Client with preferential positioning in selected paid search engine inclusion and report results on an ongoing basis. Services include but are not limited to:
### 4.1 PPC Keyword Selection Services
Intentional Marketing will manage a list of keywords and phrases relevant to Client's desired outcomes, based on:
- Research conducted by Intentional Marketing.
- Competitive analysis of keyword terms used by comparable multifamily properties.
- Analytics and metrics provided by Client for targeted terms or phrases.
### 4.2 PPC Campaign Components, Implementation, Ongoing Research, and Reporting Services
- Advertising Copy: Intentional Marketing shall write advertising copy designed to drive high-quality traffic, based on various keywords identified in section 4.1. Click-through rates shall be tracked and the advertising copy adjusted based on these reports.
- Campaign Budgeting: Intentional Marketing and Client shall agree upon an initial budget for all PPC efforts.
- Campaign Creation and Implementation: Intentional Marketing shall set up PPC accounts in Client's name with agreed-upon advertising networks. Campaigns will vary in copywriting, keyword usage, and demographic targeting based on Intentional Marketing's research and data.
- Landing Pages: Intentional Marketing may create specialized landing pages to improve campaign performance, subject to separate design fees.
- Monitoring and Reporting: Intentional Marketing shall monitor and manage the PPC campaign, adjusting bids as needed to maximize traffic quality. Reports will be provided monthly to Client.
### 4.3 ROI and Conversion Tracking Software
If deemed necessary, Intentional Marketing will install ROI tracking or other metric measurement software ("Software"). Intentional Marketing will not be responsible for maintaining or backing up the Software beyond the original installation.
### 4.4 Service Disclaimers
Client acknowledges the following:
- Intentional Marketing accepts no responsibility for policies of third-party PPC advertising networks, directories, or other web platforms.
- PPC advertising placements, positionings, or outcomes are not guaranteed.
- PPC advertising networks or search engines may drop listings without notice.
## 5. Compensation and Payment Terms
For all of Intentional Marketing's services, Client shall compensate Intentional Marketing as specified in Exhibit A. If Client fails to make payments as required, Intentional Marketing has the right to terminate the Agreement, remove resources, or bring legal action.
### 5.1 Fee Specifications
- Initial Contract: This Agreement requires a minimum commitment of 90 days. Either party may terminate the Agreement by providing a termination notice in writing. Active campaigns and associated management will continue until the end of the next full calendar month period.
- Credit Card on File for Ad Charges: A valid and working credit card must be kept on file for automatic charges related to Google Ads and geofencing services.
- Payment Method for Management Fee: A valid credit card or ACH payment method must be kept on file and will be automatically charged for the management fee on the first of the month.
## 6. Confidentiality
Client and Intentional Marketing acknowledge that the Specifications and all related documents are valuable trade secrets of Intentional Marketing. Client shall keep all such information confidential.
## 7. Limited Warranty and Limitation on Damages
Client waives any express or implied warranty and any claim for damages, agreeing that their sole remedy is the return of consideration paid to Intentional Marketing.
## 8. Independent Contractor
Intentional Marketing shall act as an independent contractor. Client shall not withhold or pay any taxes or benefits for Intentional Marketing.
## 9. Equipment
Client agrees to make available hardware, software, and services necessary for Intentional Marketing to fulfill obligations under this Agreement.
## 10. General Provisions
- Entire Agreement: This Agreement constitutes the entire agreement between the parties.
- Governing Law: This Agreement is governed by the laws of New Jersey.
- Indemnification: Client shall indemnify Intentional Marketing against any claims brought by third parties related to the PPC campaign.
- Use of Material for Promotional Purposes: Client grants Intentional Marketing the right to use campaign materials for promotional purposes.
- Transfer of Rights: Should Intentional Marketing be unable to continue services, non-exclusive rights will be granted to Client.
## Exhibit A
Services include:
- Monitoring individual ads and replacing poor performers.
- Keyword performance analysis.
- Budget adjustments to optimize high-quality traffic.
- Competitor campaign analysis.
- Monthly performance and account changes report.

### 4.1 Geofencing Targeting and Strategy Development
Intentional Marketing will create geofencing zones for targeted audiences based on:
- Identify the 3 (or more if the budget is raised) most relevant comps
- Set IP parameters for website visitors for retargeting
- Targeted demographics and behaviors identified by Client and Intentional Marketing.
### 4.2 Geofencing Campaign Components, Implementation, Ongoing Research, and Reporting Services
- Advertising Copy: Intentional Marketing shall write advertising copy designed to attract high-quality leads from geofenced areas. Impressions count and CTR shall be tracked.
- Geofence Zone Selection: Intentional Marketing and Client shall agree upon specific geographic locations to be targeted by the campaign.
- Campaign Creation and Implementation: Intentional Marketing shall set up geofencing campaigns to deliver targeted ads within agreed-upon zones. Campaigns will include varying advertising copy, location-based targeting, and time-based strategies based on Intentional Marketing's research and data.
- Monitoring and Reporting: Intentional Marketing shall monitor and manage the geofencing campaign, adjusting parameters as needed to maximize lead quality. Reports will be provided monthly to Client.
